• June 16, 1994--Lotus Development Corp. (NASDAQ:LOTS) today announced it has signed a definitive merger agreement to acquire privately held SoftSwitch Inc. of Wayne, Pa., the leading provider of electronic mail message switches that link disparate electronic messaging systems for businesses. Lotus said it will acquire SoftSwitch for approximately 1.3 million shares of Lotus common stock and account for the transaction as a pooling of interests. Lotus added that the acquisition will have an immaterial impact on 1994 earnings per share. Pending customary federal regulatory approvals, the companies expect to close the transaction within 60 days. (excerpt)
