This paper reviews the process of institutional and organizational change of cooperative banks by examining closely the impact of normalization and the phenomenon of homogenization derived from the regulatory and institutional framework of governance. We demonstrate that banks and cooperative banking groups, despite their social distinction, tend to follow the profitability and productivity patterns, the management criteria and governance practice of shareholding banks. This stems not only from regulatory, political and institutional pressure but also from the herding influence of best practice lead of shareholding banks. Finally, we question the relevance of such regulatory rationale aiming first and foremost to reduce systemic risk, while generating just the opposite as an unintended consequence. By fostering a normalization and uniformization process of management and governance practice, does it not encourage greater vulnerability instead of strengthening diversity amongst financial institutions and to achieve more stability?
